This form has been designed to protect confidential information.  Once completed it will be returned to you as an email which should be considered legally binding on receipt.

From the Effective Date Experto Crede accept that:

• All correspondence and materials disclosed by you should be considered as Strictly Private & Confidential

• We will not acquire any intellectual property rights to Confidential information disclosed by you to us

• No future agreements between Experto Crede and yourself will supersede this non-disclosure agreement.

except when the information shared was in our possession prior to this agreement or when it is:

• or becomes a matter of public knowledge through no fault of either party

• rightfully received from a third party without a duty of confidentiality

• disclosed by you to a third party without a duty of confidentiality on the third party

• as a result of independent development that commenced prior to this agreement

• disclosed under operation of law

• disclosed by prior written approval (i.e. a quote for case study purposes)

The full extent of any loss associated with breach of the above agreement is agreed to be the commercial value of the information disclosed on the date of its receipt.
